UPON PAYMENT of the sum of $ paid by Buyer to Seller (the “Purchase Price”), receipt of which is hereby acknowledged, Seller grants, sells, conveys and transfers ownership of the following dog (the “Dog”) to Buyer:

Limited Registration: This puppy is purchased as a pet with limited AKC registration and may not be bred (intentionally or unintentionally). Buyer agrees to spay or neuter this dog between the age of seven to nine months and mail Seller a veterinarian verification upon completion of that operation.

The parties accept and agree to be bound by the attached Terms and Conditions governing the purchase and sale of the Dog.

TERMS AND CONDITIONS

1. Deposit, Payment of Purchase Price, Fees

Buyer has paid a deposit of $, with payment of the balance of $ due upon release of the Dog to Buyer. The expected delivery date is , or such other date as the parties may mutually agree. Payment of the balance may be made by cash, cashier’s check, money order, or PayPal (3% surcharge applies).

Buyer acknowledges and agrees that Buyer will forfeit the deposit and any rights to the Dog if:

(a)
Buyer fails to complete the purchase of the Dog for any reason, or
(a)
Buyer fails to pay the balance of the Purchase Price within days of the agreed delivery date.

In either event, Seller shall be free to sell the Dog to another party.

In the event that the Dog is not available due to sickness, death, or any other circumstance owing to the fault of Seller, Buyer’s deposit will be transferred to the next litter of puppies.

A boarding fee of $ per day will be charged for each day the Dog is boarded by Seller past the agreed delivery date.

2. Transfer of Ownership and Registration

Upon payment in full of the Purchase Price, Seller (at Seller’s sole cost) shall promptly take all actions required to officially transfer ownership and registration (if any) of the Dog to Buyer.

3. Seller’s Representations and Warranties

Seller represents and warrants to Buyer that:

(a)
Seller is the legal and true owner of the Dog and that Seller has full right and authority to sell the Dog.
(b)
The Dog is being sold free and clear of any lien, security interest, charge or other encumbrance.
(c)
Seller guarantees that the Dog is a purebred dog, offspring of the purebred sire and purebred dam set out on page 1 of this Agreement.
(d)
The Dog is in good health and free of communicable diseases at the time of this sale. Buyer has 2 days from the delivery date to have the Dog examined by a licensed veterinarian, at Buyer’s sole cost. If the Dog fails the examination, Buyer may return the Dog, with a written statement from the veterinarian, for a full refund. Failure by Buyer to have the Dog examined within the 2 day period will nullify this warranty. If Buyer chooses to keep the puppy, no replacement will be given and all medical costs and treatment are sole responsibility of the Buyer. This health guarantee will be null and void.
(e)
This Guarantee does NOT cover Cherry eye, Entropion, Ectropion, Allergies, undescended testicles, loose knees or hips, Stenotic nares, elongated soft pallet, umbilical hernia, dermatitis, demodetic mange, cartilage damage in the ear due to injury or other. Seller will NOT replace a puppy due to heat stroke, abuse/neglect, or improper socialization. Buyer agrees that they have thoroughly researched the German Shepherd breed, and understand the many health issues they can possess. Buyer is responsible for all medical costs of their puppy. (No refunds will be given) This guarantee covers only the original Buyer and is not transferable.
(f)
To ensure that Buyer does not euthanize the Dog or take it to an animal shelter, Seller will take the Dog back at any time during the Dog’s lifetime. Seller will not issue a refund or provide another Dog to Buyer unless the Dog’s return was a result of any misrepresentation on the part of Seller with respect to the Dog’s health.

4. Fitness of Purpose

The Dog was bred as a companion animal, and Seller does not provide any warranty as to the Dog’s fitness for any specific purpose, including obedience trials, show ring performance, and/or breeding purposes.

This Dog is warranted only for the purpose of being a companion animal, not for any other purpose or reasons. No warranty is given to the Buyer for any special purpose or function of this Dog. This Dog is not to be used for any illegal activities and is not to be used for any type of puppymill, dog farm or other mass producing or money making operation.

5. Registration

Registration papers will be furnished to Buyer upon receipt from the AKC and when complete payment is made for the puppy and spay/neuter is complete. If payment is made by personal check or money-order, the registration papers will be held until the check/money-order has cleared. The Buyer has the option of naming their new Dog with the exception that all puppies carry the kennel name "White Cliff Shepherds" at the front of their AKC registered name. Buyer agrees to register this Dog in accordance with the time limits specified by the AKC and send a copy of that registration to Seller upon receipt. If Buyer fails to use "White Cliff Shepherds" in front of the registered name or to register Dog in accordance with this paragraph, all guarantees made by Seller in this contract will become void.

Limited Registration: This puppy is purchased as a pet with limited AKC registration and may not be bred (intentionally or unintentionally). Buyer agrees to spay or neuter this dog between the age of seven to nine months and mail Seller a veterinarian verification upon completion of that operation. Within one (1) year from date of purchase, should your puppy develop hip dysplasia or any genetic skeletal disorder, which disorder will severely diminish your puppy's quality and enjoyment of life and necessitate euthanasia, upon receipt of (1) a letter from a duly licensed veterinarian attesting to such condition and (2) a certificate of euthanasia, (3) a spay or neuter certificate, and (4) the puppy's AKC registration certificate, you will receive a replacement puppy from our next available litter. A pet puppy who is found to have a mild condition, which condition will not in any way shorten or diminish the quality of life for that puppy, will NOT be replaced. On Limited Registration puppies, spay or neuter certificates from a duly licensed veterinarian must be provided before AKC registration papers and pedigree will be provided on such puppy.

Registration will be kept by us until such time that you provide proof that this dog is spayed or neutered (must be within 1 year).

6. Buyer’s Representations

Buyer represents to Seller that:

(a)
Buyer will have the Dog spayed or neutered by the age of six months.
(b)
The Dog will reside with Buyer as companion pet to Buyer and Buyer’s family.
(c)
Buyer will keep the Dog in an enclosed area of adequate size, and will not allow the Dog to roam at will. Buyer will not keep the Dog chained or tethered or permanently house the Dog in a kennel.
(d)
Buyer will provide the Dog with nutritious food and necessary veterinary care, including deworming, heartworm prevention and regular vaccinations (including rabies).
(e)
Buyer is not acting as agent for any other person or business in the purchase of the Dog.
(f)
Buyer will not sell, give, or release the Dog to a pet shop, retail store, dog dealer, animal testing facility, research facility, or an agent for any such business or facility.
(g)
In the event Buyer sells the Dog to a new owner, Buyer shall ensure that the new owner agrees in writing to comply with the terms of this Agreement. This contract and all warranties it contains are non-transferable.
(h)
In the event the Buyer is unable to keep this dog for any reason, the Buyer agrees to offer to the Seller the first chance to take this dog back. In the event of a re-sale the Buyer must notify the Seller with the new name and address of the new buyer and it must be approved by us first.
(i)
Buyer agrees to take good care of this Dog, feed and house the Dog properly, maintain shots, control the Dog on a harness or leash when in public and when off the premises of the Dog's home. The Dog's outdoor area will be fenced in and secure, or acceptable provisions will be made to assure the Dog is safe any time he/she is outdoors. Buyer agrees to give the Dog proper physical and emotional care and welfare. If the Dog is found to be allowed to run freely, running at large, creating a public nuisance, or found to be neglected, abused or allowed to live in poor health or poor conditions the Seller has all rights to repossession of this Dog with no refund to the Buyer. The death, injury or loss of said Dog due to theft, carelessness, recklessness, abuse, neglect, heat stroke or accident will not entitle the Buyer to any compensation from the Seller.
(i)
Violation of this contract will constitute Buyer's unconditional surrender of the purchased Dog and all registration documents at no cost to Seller.

7. Non-Competition

Throughout the duration of this agreement the Buyer shall not, in any manner, represent, provide services or engage in any aspects of business that would be deemed similar in nature to the business of breeding or selling German Shepherds without the Seller's written consent.

The Buyer warrants and guarantees that through the duration of this agreement and for a period not to exceed following the culmination, completion or termination of this agreement, that s/he shall not directly or indirectly engage in any business that would be considered similar in nature to with the Seller, its subsidiaries, and any current or former clients and/or customers within a mile radius of . Nor shall the Buyer solicit any client, customer, officer, staff, or employee for the benefit of himself/herself or a third party that is or may be engaged in a similar business.

8. Additional Provisions (if any)

9. Indemnity and Release

If any action or failure to act on the part of Buyer shall result in any claim, suit, loss, damage, injury, death, or liability, Buyer agrees to defend, indemnify, and hold Seller harmless and to pay all of Seller’s costs and expenses, including reasonable legal fees, any amount paid in settlement and any award or judgment with respect thereto. Buyer releases Seller from any and all liability, costs or damages caused by the Dog after placement with Seller, including but not limited to damage to or destruction of property, and injury to any person.

10. Limitation of Action

Any action or claim brought by Buyer against Seller for breach of this Agreement or for loss due to negligence must be brought within one (1) year of the date such claim or loss occurs.

11. Entire Agreement

This Agreement represents the entire agreement between the parties. Seller and Buyer have made no other agreements, promises, representations or warranties, express or implied, unless specifically stated in this Agreement.
